1. Agreement to Terms

Welcome to Headline, LLC ("Headline," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website at headline.club (the "Site"), our Headline: Local News and Events mobile application (the "App"), and any related services we provide (collectively, the "Platform").

By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Platform.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our Platform and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the modified Terms.

2. Description of Service

Headline provides a personalized news aggregation and distribution platform that delivers local news, events, and content from across Washington State and beyond. Our Platform includes:

• Curated local and national news articles
• Personalized newsletters based on user preferences and location

• Mobile application for iOS and Android devices

3. User Accounts

3.1 Account Creation

To access certain features of our Platform, you may be required to create an account. You agree to:

• Maintain and promptly update your account information
• Maintain the security of your account credentials

• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 13 years old to create an account and use our Platform. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Platform.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including if you violate these Terms. You may also delete your account at any time through your account settings.

You agree to use our Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Platform for any fraudulent or unlawful purpose
• Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the Platform or servers or networks connected to the Platform
• Attempt to gain unauthorized access to any portion of the Platform or any other systems or networks
• Use any automated means (including bots, scrapers, or crawlers) to access the Platform without our prior written permission
• Upload or transmit viruses, malware, or any other malicious code
• Harvest or collect information about other users without their consent
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform
• Use the Platform to distribute spam, advertising, or promotional materials without our consent

5. User Content

5.1 Your Content

Our Platform may allow you to submit, post, or share content, including articles, comments, reviews, and other materials ("User Content"). You retain ownership of your User Content, but you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and providing the Platform.

You represent and warrant that your User Content:

• Is accurate and not misleading
• Does not infringe any third-party rights (including intellectual property rights)
• Does not contain defamatory, obscene, offensive, or illegal material
• Does not contain viruses or other harmful computer code
• Complies with all applicable laws and regulations

5.3 Content Moderation

We reserve the right (but have no obligation) to review, monitor, edit, or remove any User Content at our sole discretion, including content that violates these Terms or is otherwise objectionable.

6. Intellectual Property Rights

6.1 Our Content

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by Headline, LLC, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use, subject to these Terms. This license does not include any right to:

• Modify or copy the materials
• Use the materials for any commercial purpose or public display
• Remove any copyright or proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

6.3 Trademarks

"Headline" and related logos, graphics, and service names are trademarks of Headline, LLC. You may not use our trademarks without our prior written permission.

7. Third-Party Content and Links

Our Platform may contain links to third-party websites, services, or content that are not owned or controlled by Headline. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any third-party content or services.

News articles and content on our Platform are sourced from various publishers and content providers. We do not create all content on the Platform and are not responsible for the accuracy, completeness, or reliability of third-party content.

8. Newsletters and Communications

By creating an account or subscribing to our newsletters, you consent to receive electronic communications from us, including newsletters, updates, and promotional materials. You may opt out of receiving promotional emails by following the unsubscribe instructions in those emails or by updating your account preferences. You cannot opt out of receiving service-related communications (e.g., account verification, technical notifications).

9. Subscription and Payment Terms

Certain features of our Platform may require payment of fees. If you choose to purchase a subscription or paid service:

• You agree to pay all applicable fees as described at the time of purchase

We do not warrant that:

• The Platform will be uninterrupted, secure, or error-free
• The results obtained from using the Platform will be accurate or reliable
• Any errors in the Platform will be corrected
• The content on the Platform is accurate, complete, or current

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HEADLINE, LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Headline, LLC and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your User Content

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.

12.2 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, except as otherwise provided herein. The arbitration shall be conducted in Washington State, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

12.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND HEADLINE, LLC INDIVIDUALLY. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Headline regarding your use of the Platform and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

13.5 No Third-Party Beneficiaries

These Terms do not confer any third-party beneficiary rights.

14. Mobile Application Terms

When you use the Headline: Local News and Events mobile app, you also agree to comply with the applicable app store terms (Apple App Store or Google Play Store). If there is any conflict between these Terms and the app store terms, these Terms shall prevail with respect to your use of our App, to the extent permitted by the app store terms.
